Terms of Service
Effective Date: December 31, 2025
01. Overview of Services
Dynexus provides digital services including but not limited to:
- Full-stack web application development (Frontend and Backend)
- MVP platform creation and deployment
- API integrations and database architecture
- Performance optimization (speed, LCP, UX improvements)
- Technical consulting, code audits, and maintenance
- UI/UX design
The exact scope of work will be defined and agreed upon before the project begins.
02. Order Process & Communication
- All projects begin only after requirements are discussed and mutually agreed upon.
- Project timelines are discussed and finalized only during meetings (video/audio/chat) and are not implied before confirmation.
- Clients are responsible for providing accurate requirements, assets, and feedback in a timely manner.
03. Demo Work Policy
For development and optimization services, Dynexus may provide demo or sample work to demonstrate capability before payment.
- The demo is limited in scope and does not represent full project delivery.
- UI/UX and design-only services are excluded from demo work and require upfront payment as agreed.
04. Payment Structure
Unless otherwise agreed in writing, payments follow this structure:
- Phase 1 – After Demo Approval: Once demo work is provided and approved by the client, 50% payment is required to begin full project execution.
- Phase 2 – Project Completion: The remaining 50% payment is due upon project completion and before final handover or deployment.
Important Notes:
- Work beyond demo scope will not begin until Phase 1 payment is received.
- Failure to complete payments may result in work suspension or withholding of deliverables.
05. Accepted Payment Methods
Payments are accepted only through:
- PayPal
- Cloudflare-supported payment methods (if applicable)
- Binance (crypto payments, if agreed)
Any transaction or processing fees are the responsibility of the client.
06. Refund & Cancellation Policy (Kill Fee)
- Payments made after demo approval are non-refundable once work has started.
- Cancellation Fee: In the event of a project cancellation by the client halfway, a kill fee will be applied to ensure developer time is not used for free.
- If the project is stopped after the initial architecture/concept stage: 30% of the total payment is retained.
- If the project is stopped mid-development: 50% of the total payment is retained.
- Refunds are only applicable if Dynexus fails to deliver the agreed scope of work. Delays caused by lack of client communication or assets are not grounds for refunds.
07. Revisions & Change Requests
Each project includes up to 2 minor revisions, defined as small changes that do not alter core functionality or scope.
Major changes, new features, or scope modifications are treated as new work and billed separately.
08. Delivery, Testing & Acceptance
- Upon delivery, the client has 5 days to review and report issues.
- Bugs or issues reported within this period will be fixed at no additional cost.
- Requests made after this window may be considered new work.
09. Intellectual Property & Ownership
Unless explicitly stated otherwise, Dynexus retains ownership of:
- Source code
- Design systems
- Frameworks & Templates
- Reusable components
After full payment, clients receive a license to use the delivered work for their business purposes.
Exclusive ownership or source file transfer requires a separate written agreement and additional fees.
10. Portfolio & Showcase Rights
Dynexus reserves the right to showcase non-confidential projects in portfolios, case studies, and marketing materials unless a written non-disclosure agreement is in place.
11. Client Responsibilities
Clients agree that they will:
- Provide lawful content and materials
- Not use delivered work for illegal, abusive, or harmful activities
- Not resell, redistribute, or claim authorship of non-exclusive work
Dynexus is not responsible for misuse of delivered services or assets.
12. Security & Liability
Dynexus follows reasonable security practices during development. However, we are not liable for issues arising from:
- Client-side modifications
- Third-party services and APIs
- Hosting provider outages
13. Limitation of Liability
To the maximum extent permitted, Dynexus's liability is limited to the total amount paid by the client for the specific service in question. Dynexus is not liable for indirect or consequential damages.
14. Termination of Services
Dynexus reserves the right to refuse, suspend, or terminate services if:
- These Terms are violated
- Payments are delayed or disputed without communication
- The client engages in abusive, illegal, or harmful behavior
Outstanding payments remain due upon termination.
15. Force Majeure
Dynexus is not responsible for delays or failures caused by events beyond reasonable control, including outages, technical failures, or emergencies.
16. Modifications to Terms
Dynexus may update these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
